STANDARD TERMS AND CONDITIONS - THIS IS A RESERVED AUCTION
Effective June 2026
IMPORTANT: These Terms and Conditions govern all property auctions conducted on the IronBack.AG platform.
By registering as a bidder and/or placing a bid, you acknowledge that you have read, understood, and agree to be
legally bound by these terms. Sale-specific terms for individual auctions may supplement but do not replace these
standard terms unless expressly stated.
1. Definitions
For the purposes of these Terms and Conditions, the following definitions apply:
• "IronBack.AG" or "Platform" refers to IronBack.AG online property auction platform, its operators, agents,
and representatives.
• "Auction" means any property auction event conducted on the IronBack.AG platform.
• "Bidder" means any registered individual or entity who places or intends to place a bid on the Platform.
• "Seller" means the owner, estate, financial institution, or court-appointed party offering the property for sale.
• "Property" or "Parcel" means any real estate asset listed for sale on the Platform.
• "Starting Bid" means the minimum amount at which bidding may commence for a given Property.
• "Reserve Price" means the minimum price a Seller has set that must be met for the Property to be sold
(Reserved auctions only).
• "Offer to Purchase" or "OTP" means the applicable Alberta Real Estate Association (AREA) standard
purchase contract governing the transaction.
• "Deposit" means the non-refundable sum required from the successful bidder upon close of bidding or
acceptance of bid.
• "Completion Day" means the closing date as set out in the applicable Offer to Purchase.
• "Default Event" means failure by the successful bidder to execute the OTP and/or deliver the required
Deposit within the specified timeframe.

2. Bidder Registration & Eligibility
2.1 Registration Requirement
All bidders must register on the IronBack.AG platform prior to placing any bid. Registration requires the provision
of accurate personal and contact information, including a valid email address to which all auction notifications will
be sent.
 2.2 Letter of Confirmation of Funds (Required for Registration Approval)
Prior to registration being approved and bidding privileges being granted, all prospective bidders must
provide a Letter of Confirmation of Funds from their financial institution. This letter must be: (a) printed
on official bank or financial institution letterhead; (b) addressed to IronBack.AG; (c) include the bidder's
full legal name and/or company name; (d) confirm the amount of funds the bidder has available and
authorized to use for the purchase; and (e) be dated within sixty (60) days of the auction

commencement date. The letter must be emailed to IronBack.AG at solutions@ironback.ag prior to
registration approval. Failure to provide an acceptable Letter of Confirmation of Funds will result in the
registration being denied or suspended. IronBack.AG reserves the right to reject any letter it deems
insufficient, incomplete, or unverifiable.
2.3 Credit Card Authorization & Verification
As part of the registration process, all bidders are required to provide a valid credit card. This card will be verified
through Stripe at the time of registration. As part of this verification process, Stripe may place a temporary
authorization or small test charge of between USD $1.00 and USD $100.00 on the registered card to confirm it is
valid and active. This amount is not a fee — it will be fully returned to the bidder's card(may take 48hrs to return
funds). By registering, the bidder acknowledges and consents to this verification process. The registered credit
card will not be charged for any other purpose without the bidder's express consent, except in the event of a
Default Event as described in Section 7.
Credit Card Surcharge: All deposit payments of the Buyer will be paid through the CIR Realty Trust Account. Options of payment and process will be provided for you by the selling agent, they do include, Payload, Wire Transfer, E-Transfer and Direct Deposit.
2.4 Bidder Acknowledgment
By completing registration and placing a bid, each bidder confirms that they:
• Are of legal age and have the legal capacity to enter into a binding purchase contract;
• Have had sufficient opportunity to obtain independent legal advice with respect to the transaction and
associated documents;
• Have reviewed the Property Information Package and the applicable Offer to Purchase prior to bidding;
• Fully understand the nature and effect of the transaction;
• Are bidding freely, voluntarily, and for their own benefit and not on behalf of any undisclosed third party;
• Agree to be bound by these Terms and Conditions in their entirety.
3. Auction Formats
3.1 Unreserved Auctions
In an Unreserved Auction, the Seller has agreed in advance to accept the highest bid regardless of price. The
Property will sell to the highest bidder at the close of the auction without condition as to price. Unreserved status
will be clearly indicated on the Property listing.
3.2 Reserved Auctions
In a Reserved Auction, the Seller has established a minimum Reserve Price that must be met in order for the
Property to be deemed sold. The Reserve Price may or may not be disclosed to bidders and may be indicated as
a Starting Bid, Reserve Price, or noted as "Subject to Seller Approval."
Seller and/or IronBack.AG reserve the right to:
• Remove the Reserve Price at any time, converting the auction to Unreserved;
• Accept any bid within two (2) business days of auction close that is below the Reserve Price;
• Issue a counteroffer to any bidder within two (2) business days of auction close.
Bids remain binding and in effect for two (2) business days following the close of the auction.
3.3 Starting Bid

Each Property will have a designated Starting Bid, which is the minimum amount at which bidding may
commence. The Starting Bid is set below estimated fair market value and is intended to encourage participation
from serious bidders only. The Starting Bid is not a Reserve Price. If the Starting Bid is not met, the Property will
not sell. Starting Bids are subject to adjustment prior to auction commencement; bidders are encouraged to
review the listing for any updates.
3.4 Buy It Now Option
Certain Properties may be offered with an unconditional Buy It Now option at a fixed price set and agreed upon between Seller(s), Selling Agent and 
IronBack.AG. Where a Buy It Now option is available:
• The Buy It Now price and the open and close dates of the Buy It Now window will be clearly posted on the
Property listing page. 

July 22 2026, 5pm is the final cutoff for any Conventional Offers to be accepted by the Seller's. OTP can be sent at anytime and Seller's can accept any OTP's at any time prior to July 22, 2026 before 5pm. 

If there is an accepted offer that has conditions to be met, the property may move to a 72 Hour (3 Business Day) time clause until conditions removed to ensure the property will continue to be viewed by interested buyer(s) in the case the conditions are not met and property continues to move to auction process.  

July 31 2025 at 5pm all conditions of OTP if it was accepted must be removed or the property will move into Auction Format. 
• The Buy It Now option is available only during the designated Buy It Now window, which will open prior to
the auction commencement and close at the time specified on the listing;
• A bidder exercising the Buy It Now option must execute the Offer to Purchase and deliver the required
Deposit before the Property is marked as sold;
• Standard IronBack.AG platform fees and bidder terms apply to Buy It Now transactions;
• Once a Buy It Now purchase is confirmed, the auction for that Property will be terminated and the Property
removed from active bidding;
• Buy It Now transactions can be conditional and all due diligence will need to be done on or before dates
that are specified on MLS Listing and Auction Platform. Please look at dates provided on the Auction
Property above to ensure conditions are met within the correct time period any conditions continue through
specific dates for the auction process will be null and void.

Seller's & Selling agent will not disclose Buy it Now Price. Due diligence of market evaluation will need to be done by the potential buyer(s) on their own research or with the assistance of an agent or certified appraiser. 
4. Bidding Process & Platform Rules
4.1 Auction Commencement
Each auction will commence and close at a predetermined date and time as posted on the Property listing page.
Bidders are strongly encouraged to place bids well in advance of the scheduled closing time. IronBack.AG is not
responsible for bids not received due to technical issues, connectivity problems, or user error.
Bidder Responsibility — Connectivity: Bidders are responsible for maintaining a stable internet connection
throughout the auction. IronBack.AG strongly recommends bidding from a reliable Wi-Fi connection and regularly
refreshing your browser or mobile device during the auction to ensure you are viewing the most current bid status.
IronBack.AG is not responsible for missed bids resulting from poor connectivity, browser issues, or failure to
refresh the auction page.
4.2 Bid Increments
Minimum bid increments for each auction will be posted on the Property listing page. All bids must meet or
exceed the posted increment above the current highest bid.

There is 3 options for bidding:

a. Bid next increment

b. Manually place your bid

c. Create a Max bid(Max Bids are one bid higher of the previous high bid, if you place a bid and it asks to bid again, that means another bidder has placed a max that is higher than your bid). 
4.3 Three-Minute Bid Extension
Platform Rule: Any bid placed within the final three (3) minutes (180 seconds) of an auction will automatically extend the auction
clock by three (3) minutes. This extension applies consistently to every auction on the IronBack.AG platform
without exception. The auction will close only when no bids have been received for a continuous three (3) minute
period.
4.4 Multi-Parcel Auctions
Where an auction involves multiple Properties or Parcels, the auction listing will specify one of the following
closing structures:
• Staggered Close: Each Parcel has a separate expiration time, allowing bidders to focus on one Parcel at a
time. The chronological closing order will be displayed on the auction page.
• Universal Close: All Parcels expire simultaneously at the same date and time.
The three-minute bid extension rule applies to each individual Parcel regardless of the closing structure.

4.5 Bidder Anonymity
The identity of the highest bidder on any Parcel is not disclosed to other bidders at any time during or after the
auction.
4.6 Binding Nature of Bids
Placing a bid on the IronBack.AG platform constitutes a legally binding and irrevocable offer to purchase the
Property on the terms of the applicable Offer to Purchase. Once a bid is placed and acknowledged by the
Platform, the bidder is obligated to complete the transaction if their bid is accepted. Bids remain in effect for two
(2) business days following auction close.
4.7 Platform & Technical Issues
IronBack.AG operates on the BidWrangler auction platform. In the event of a technical outage, disputed bid, or
platform interruption during an active auction, IronBack.AG reserves the right to extend, pause, or void the auction
at its sole discretion. IronBack.AG is not liable for any loss or damages arising from platform outages, bid
transmission failures, or connectivity issues. Bidders are subject to both IronBack.AG's Terms and Conditions and
BidWrangler's platform terms of use.
5. Seller's Right of Refusal & Approval
All winning bids are subject to the Seller's right of review and approval following the close of bidding. Submitting
the highest bid does not automatically guarantee a completed purchase. The Property is not considered sold until
the Seller formally approves the bid or executes the Offer to Purchase provided by the Selling agent and
brokerage.
★ 5.1 Seller Approval Timeline
Where Seller approval, court authorization, or financial institution consent is required, the Seller, court,
or financial institution must accept, reject, or counter the highest bid within twenty-four (24) hours of
auction close. This timeline applies to all standard IronBack.AG auctions unless a sale-specific term
expressly states otherwise. The bidder's Deposit will not be collected until the bid has been formally
accepted by the approving party. Until such acceptance occurs, the transaction remains conditional
and neither IronBack.AG nor the Seller is obligated to proceed. If the Seller issues a counteroffer that
the highest bidder declines, the Seller reserves the right to approach the next highest bidder or any
other bidder in order of auction results.
6. Deposit = $25,000.00 24 hours from Auction Closing will be paid to CIR Realty Brokerage Trust Account. Selling Agent will contact Buyer at end of sale and send proper instructions of payment process. 
The required Deposit amount for each Property will be specified in the Property Information Package and/or
announced at the commencement of the auction. Upon acceptance of the winning bid:
• The successful bidder will be notified by email to the address provided at registration;
• The Deposit must be delivered by bank draft or direct electronic deposit (as specified in the auction
notification) payable to the listing brokerage, within twenty-four (24) hours of bid acceptance unless posted
otherwise;
• Cash and virtual/cryptocurrency payments will not be accepted;
• Where a Seller's right of refusal or approval applies, the Deposit will only be collected once the bid has
been formally accepted by the relevant approving party and will be held in trust by the listing brokerage.
• All Deposits collected on the IronBack.AG platform are held in the CIR Realty Trust Account, administered
by CIR Realty Brokerage, in accordance with the Real Estate Act of Alberta and applicable trust accounting
regulations.

Non-Refundable: Once collected and held in trust, the Deposit is non-refundable except in the event the Seller
does not accept the bid, in which case the Deposit will be returned in full to the bidder and the sale will be voided.
7. Bidder Default
7.1 Default Event
A Default Event occurs when the successful bidder fails to execute the Offer to Purchase and/or deliver the
required Deposit by the date and time stipulated in the auction notification.
7.2 Consequences of Default
In the event of a Default Event, IronBack.AG and the Seller reserve the right to mitigate damages by offering the
Property to the next highest bidder or any other interested party. The defaulting bidder ("Defaulting Party") agrees
to the following:
• Seller Damages: The Defaulting Party shall pay the Seller, as liquidated damages, the difference between
the Defaulting Party's accepted bid and the price at which the Property is subsequently sold.
• IronBack.AG Default Fee: The Defaulting Party agrees to pay IronBack.AG a Default Fee equal to the
greater of $10,000.00 or 10% of the Defaulting Party's accepted bid amount in respect of each Default
Event. This fee reflects the reputational and operational harm caused to IronBack.AG as a transparent price
discovery platform.
• Credit Card Charge: The Defaulting Party expressly authorizes IronBack.AG to charge all or any portion of
the Default Fee to the credit card registered at the time of bidder registration through Stripe.
• Legal Recourse: The Defaulting Party agrees that IronBack.AG shall be entitled to pursue Summary
Judgment for any portion of the Default Fee not recovered through the registered credit card.
7.3 Non-Performance by Seller
If the Seller does not accept the highest bid or withdraws the Property prior to completion, the Deposit (if
collected) will be returned in full to the bidder, and the bidder shall have no further claim against IronBack.AG or
the Seller.
8. Purchase Contract
All property transactions on the IronBack.AG platform will be completed using the applicable standard Alberta
Real Estate Association (AREA) Offer to Purchase form. The applicable OTP for each Property will be made
available for review in the Property Information Package prior to the commencement of the auction.
By placing a bid, the bidder agrees that:
• Their bid encompasses both the monetary amount and all terms set out in the applicable OTP;
• They will execute the OTP within the timeframe stipulated in the auction notification;
• The purchase will not be subject to any buyer conditions — no financing conditions, inspection conditions,
or other conditions will be accepted;
• They will retain their own lawyer to complete conveyancing on their behalf;
• They are responsible for their own legal fees and conveyancing costs.
9. Closing, Possession & Title Insurance
9.1 Completion Day

The Completion Day for each Property will be set out in the applicable OTP. The balance of the purchase price
must be delivered by the buyer to their lawyer on or before Completion Day. Possession will be in accordance
with the terms of the OTP.
9.2 Title Insurance
The buyer agrees to close the transaction with title insurance at their sole cost unless posted otherwise. Title
insurance is typically arranged through the buyer's lawyer and costs approximately $500–$1,500 depending on
the purchase price and financing amount. If Land Titles is working ahead of the Completion Day and title can be
transferred without delay, title insurance may not be required. The buyer's lawyer will advise accordingly.
9.3 GST
The bid price does not include Goods and Services Tax (GST) unless otherwise announced by IronBack.AG prior
to the auction. Where applicable, GST will be the responsibility of the buyer in addition to the accepted bid price.
10. Post-Auction Obligations of Successful Bidder
★ 10.1 FINTRAC Identification Requirements
In accordance with Canada's Proceeds of Crime (Money Laundering) and Terrorist Financing Act and
the regulations administered by the Financial Transactions and Reports Analysis Centre of Canada
(FINTRAC), IronBack.AG and CIR Realty Brokerage are required to verify the identity of all parties to a
real estate transaction. Upon being identified as the successful bidder, the winning bidder must
provide government-issued photo identification within twenty-four (24) hours of bid acceptance
notification. Acceptable identification includes: (a) Canadian Passport; (b) Canadian Driver's Licence;
(c) Provincial or Territorial Identity Card; (d) Permanent Resident Card; or (e) foreign passport (for
non-Canadian residents). Where the purchaser is a corporation or other legal entity, additional
documentation regarding beneficial ownership may be required. Failure to provide acceptable
identification within the required timeframe constitutes a Default Event under Section 7 of these Terms
and Conditions.
★ 10.2 Conveyancing Lawyer Information Required
Within twenty four (24) hours of bid acceptance notification, the successful bidder must provide
IronBack.AG with the full name, firm name, phone number, and email address of the lawyer they have
retained to complete conveyancing on their behalf. This information is required in order to facilitate the
timely delivery of the Offer to Purchase, deposit instructions, and title transfer documentation. The
bidder's failure to retain a lawyer and provide the required contact information within the stipulated
timeframe will be treated as a Default Event under Section 7 of these Terms and Conditions. The
buyer is solely responsible for all legal fees and conveyancing costs associated with the transaction.
11. Property Information & Due Diligence
It is the sole responsibility of all bidders to review all information provided in connection with each auction,
including the Property Information Package, the applicable OTP, and these Terms and Conditions, prior to placing
any bid.
Listing information on the IronBack.AG platform is sourced from third parties including sellers, agents, and public
records. While IronBack.AG endeavours to ensure accuracy, it cannot guarantee that all information is complete
or current. In particular:

• Any maps, drawings, renderings, or visual representations of Properties are provided for informational
purposes only and have not been prepared for legal, engineering, or surveying purposes unless expressly
stated;
• Listings are subject to errors, omissions, changes, or withdrawal without notice;
• Bidders have differing intended uses for properties and are encouraged to independently verify that the
Property is suitable for their intended purpose prior to bidding.
If clarification on any Property details is required, it is the bidder's responsibility to contact IronBack.AG or the
listing brokerage prior to the commencement of the auction.
12. No Warranty — As Is, Where Is
The buyer accepts the Property in its as-is, where-is condition. Neither the Seller, IronBack.AG, nor the listing
brokerage makes any representation or warranty of any kind, express or implied, as to:
• The physical condition, fitness, or suitability of the Property for any purpose;
• Environmental conditions, contamination, or compliance;
• The condition of any improvements, structures, or fixtures on the Property;
• Compliance with any applicable zoning, building code, or regulatory requirements.
IronBack.AG acts solely as agent of the Seller and not as agent of the buyer. All material facts known to
IronBack.AG that may affect the value or marketability of the Property will be disclosed in the Property Information
Package.
13. Agency Disclosure
The real estate brokerage and IronBack.AG act solely as agents of the Seller in connection with each auction
transaction. They do not act as agents of, or in any fiduciary capacity toward, the Buyer. All prospective buyers
are strongly encouraged to engage independent legal and real estate advice prior to bidding.
14. Platform Fee — IronBack.AG
★ NEW — 14.1 IronBack.AG Platform Fee Disclosure
IronBack.AG charges a platform fee for use of the online auction technology and services. The
platform fee is separate from the real estate commission payable to CIR Realty and is the
responsibility of the Seller to pay IronBack.AG within 5 Business Days after Possession Day and
Funds from Auction have been received to the Seller’s unless otherwise expressly stated in the sale-
specific terms.. IronBack.AG reserves the right to modify its platform fee structure for future auctions
with advance notice given to the Seller’s.
15. Sale-Specific Terms & Conditions
Certain auctions may be subject to additional or modified terms and conditions specific to that sale, including but
not limited to adjusted deposit amounts, modified completion dates, Buy It Now pricing and windows, court-
ordered sale requirements, or financial institution approvals. Sale-specific terms will be clearly posted on the

Property listing page and in the Property Information Package. In the event of any conflict between sale-specific
terms and these Standard Terms and Conditions, the sale-specific terms will prevail for that auction only.
16. Privacy & Data
Personal information collected during the registration and bidding process is used solely for the purposes of
administering the auction, verifying bidder eligibility, processing transactions, and, where applicable, enforcing
Default provisions and complying with FINTRAC obligations. IronBack.AG will not sell or share personal
information with third parties except as required to administer the transaction, comply with applicable law
(including FINTRAC reporting requirements), or as required by court order. Payment information is processed
securely through Stripe and is subject to Stripe's privacy and security policies. FINTRAC may be done by the
Buyer(s) by the Selling Agent sending the link to Buyer(s) or by the Buyer’s providing proof of identity for the
Selling Agent to fill in. Please contact selling agent for more information.
17. Disputes & Governing Law
These Terms and Conditions and any auction transactions conducted on the IronBack.AG platform are governed
by the laws of the Province of Alberta and the applicable laws of Canada. Any dispute arising from or related to an
auction transaction shall be subject to the exclusive jurisdiction of the courts of Alberta.
In the event of a disputed bid or auction result, IronBack.AG's determination shall be final, subject to the rights of
the Seller as described herein. Bidders agree to attempt to resolve any disputes informally with IronBack.AG prior
to initiating any legal proceedings.
18. General Provisions
• Severability: If any provision of these Terms and Conditions is found to be invalid or unenforceable, the
remaining provisions shall continue in full force and effect.
• Entire Agreement: These Terms and Conditions, together with the applicable Property Information Package
and Offer to Purchase, constitute the entire agreement between the bidder and IronBack.AG with respect to
the auction.
• Amendments: IronBack.AG reserves the right to amend these Terms and Conditions at any time. Updated
terms will be posted on the Platform. Continued use of the Platform following any amendment constitutes
acceptance of the revised terms.
• Auctioneer's Discretion: IronBack.AG, as auctioneer, reserves the right to accept or reject any bid, postpone
or cancel any auction, and take any action it deems necessary to protect the integrity of the auction
process.
By registering on the IronBack.AG platform and/or placing a bid, you confirm that you have read,
understood, and agree to be bound by these Terms and Conditions.

Deposit
Notwithstanding the Standard Terms and Conditions of IronBack.AG, the required Deposit for this auction is a flat
$25,000 CAD, non-refundable upon acceptance of the winning bid. This amount supersedes any percentage-

draft or direct electronic deposit payable to CIR Realty Trust Account. The remaining balance of the purchase
price is due on Completion Day as set out in the Offer to Purchase.
Note: This deposit amount is subject to final confirmation by the Sellers. Bidders will be notified of any change
prior to auction commencement.
Seller Right of Refusal
The Sellers retain the right of refusal on all bids. The Sellers must accept, reject, or counter the highest bid within
twenty-four (24) hours of auction close. If no response is received within twenty-four (24) hours, IronBack.AG will
contact the Sellers directly. The bidder's Deposit will not be collected until formal acceptance of the bid by the
Sellers.
Buy It Now Option
This Property is offered with a unconditional or conditional Buy It Now option. Buyer offer is based on the
Buyer(s) own market evaluation of the property offered and Offer may or may not be accepted. The Buy It Now
window will open on June 12 2026 and close on July 22nd at 5pm MDT All conditions must be removed by July 31
2026 by 5pm or that accepted offer will be void and null. To exercise the Buy It Now option, the prospective buyer
or Buying agent must contact Selling Agent, and then selling agent will contact IronBack.AG directly at

the Property is marked as sold. The Buy It Now option terminates automatically at the commencement of the

Letter of Confirmation of Funds
All prospective bidders for this Property must provide a Letter of Confirmation of Funds from their bank or financial

auction commencement date. Failure to provide an acceptable letter will result in registration being denied.
FINTRAC / Identity Verification
As required under Canada's Proceeds of Crime (Money Laundering) and Terrorist Financing Act, the successful
bidder must provide government-issued photo identification to IronBack.AG and CIR Realty within twenty-four
(24) hours of bid acceptance notification. Acceptable forms of identification are listed in Section 10.1 of the
Standard Terms and Conditions.
Conveyancing Lawyer
The successful bidder must provide the name, firm, phone number, and email address of their retained
conveyancing lawyer to the Selling agent and IronBack.AG within forty-eight (48) hours of bid acceptance
notification. Failure to do so is a Default Event under Section 7 of the Standard Terms and Conditions.
These Sale-Specific Terms form part of the IronBack.AG Standard Terms and Conditions for the Kobol Acreage auction. In the
event of conflict, these Sale-Specific Terms prevail.
